At a General Meeting of the Members of the above-named entity duly convened and held at 6th Floor, Seven Buchanan Street, Glasgow, G1 3HL on 7 June 2018 at 12 noon, the following Special and Ordinary Resolutions were duly passed:-

AS A SPECIAL RESOLUTION

That it having been proved to the satisfaction of the meeting, the entity cannot, by reason of its liabilities, continue its business, and that is advisable to wind up the entity, and accordingly that the entity be wound up voluntarily and that Richard Paul Rendle of Rendle & Co be appointed Liquidator for the purposes of such winding up.

AS ORDINARY RESOLUTIONS

The Liquidator be authorised to draw fees, periodically on account, on a time cost basis. Any such fees drawn to be ratified at a subsequent meeting of the Liquidation Committee or creditors as appropriate.

The Liquidator was authorised to draw 'Category 2' disbursements, periodically on account at his firm's standard rate as amended from time to time & for the amounts so drawn to be notified to creditors periodically as required together with disbursements
