At a general meeting of the above companies held at Cornwall Court, 19 Cornwall Street, Birmingham B3 2DT on 1 February 2018, the following resolutions were passed; number 1 as a special resolution and numbers 2 and 3 as ordinary resolutions:

1 That it has been proved to the satisfaction of this meeting that the companies cannot, by reason of their liabilities, continue their business and that it is advisable to wind up the same and accordingly that the companies be wound up voluntarily.

2 That Michael Thomas Denny and David Matthew Hammond, of PricewaterhouseCoopers LLP, Cornwall Court, 19 Cornwall Street, Birmingham B3 2DT be and are hereby appointed joint liquidators of the companies for the purpose of their voluntary winding up.

3 That any act required or authorised (where under any enactment or otherwise) to be done by the liquidators of the companies may be done by all or any one or more of the persons for the time being holding the office of liquidator.
