The following written resolutions was passed by the Members on 15 March 2022, number 1 as a Special resolution and 3 as an Extraordinary resolution and 2, 4, 5 and 6 as Ordinary resolutions:

1. "That the Company be wound up voluntarily" and

2. "That Matthew Douglas Hardy, of Poppleton & Appleby, The Silverworks, 67-71 Northwood Street, Jewellery Quarter, Birmingham, B3 1TX, be appointed Liquidator of the Company" and

3. "That the Liquidator be authorised to distribute any of the Company`s assets in specie" and

4. "That the Liquidators` fees will be charged as a fixed amount of ÂŁ4,500 plus disbursements and VAT" and

5. "That the Liquidator be authorised to recover Category 2 expenses in accordance with their recovery policy disclosed to the members."

6. "That the Liquidator be authorised to instruct Meller Bromsgrove Ltd and Spencer Gardner Dickins to prepare final accounts and to finalise the Corporation Tax liability for the Company and to pay their reasonable costs for doing so as an expense of the liquidation."
