THE COMPANIES ACT 2006 & THE INSOLVENCY ACT 1986

The following Special Resolution (1) together with the remaining Ordinary Resolution were passed by the Members of the Company by written resolutions. The requisite voting majority was received on 29 July 2019.

1) That the Company be wound up voluntarily.

2) That Laurence George Russell of Albert Goodman LLP, Mary Street, House, Mary Street, Taunton, Somerset, TA1 3NW, be appointed liquidator of the Company for the purposes of the voluntary winding-up.
