At a General Meeting of the Members of the above-named company, duly convened, and held on 31 May 2019 the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution:

1. That the Company be wound up voluntarily (by way of a creditors’ voluntary liquidation);

2. That Douglas Nigel Rackham and Michael John Andrew Jervis of PricewaterhouseCoopers LLP, 7 More London, Riverside, London, SE1 2RT be appointed as the joint liquidators of the Company for the purposes of the winding-up of the Company; and

3. That any act required or authorised (whether under any enactment or otherwise) to be done by the liquidators of the Company may be done by any one or more of the persons holding the office of liquidator from time to time (whether acting alone or jointly).
