“That it has been proved to the satisfaction of the sole member that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly, that the Company be wound up voluntarily and that Matthew Henderson, of Johnston Carmichael LLP, 7-11 Melville Street, Edinburgh, EH3 7PE, (IP No. 6884) be appointed Liquidator of the Company for the purposes of such winding up.”
