"That the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily and that Samuel Talby (IP No. 9404) and Julie Swan (IP No. 9168) both of PCR (Bristol) LLP, 77A Alma Road, Clifton, Bristol, BS8 2DP be appointed as Joint Liquidators for the purposes of such voluntary winding up."
