The Chair read the notice convening the meeting.

Chair's statement

The Chair explained to the meeting the reasons for proposing that the Company be wound up.

Resolutions

The Chair proposed the following resolutions, which were passed by all Members, number 1 as a Special resolution and number 2 as an Ordinary resolution.

1. "That the Company be wound up voluntarily" and

2. "That Darren Brookes & Molly Monks of Milner Boardman & Partners, 187A Ashley Road, Hale, Cheshire WA15 9SQ be appointed Joint Liquidators of the Company and that they be authorised to act either jointly or separately"

Subsequently Keith Algie and Lindsey J Cooper of RSM Restructuring Advisory LLP, 3 Hardman Street, Manchester M3 3HF were appointed Joint Liquidators by Creditors.
