At a general meeting of the above-named LLP, duly convened, and held at St. George's House, 215-219 Chester Road, Manchester, M15 4JE, the following Resolutions were passed as a Special Resolution and an Ordinary Resolution:

"That it has been proved to the satisfaction of this meeting that the LLP cannot by reason of its liabilities continue its business and that it is advisable to wind up the same and accordingly that the LLP be wound up voluntarily and that Charles MacMillan (IP No. 6000) of Beever and Struthers, St George's House, 215-219 Chester Road, Manchester, M15 4JE be and is hereby appointed Liquidator for the purpose of such winding up."
