At a General Meeting of the above-named Company, duly convened, and held at the offices of BDO LLP, Two Snowhill, Birmingham B4 6GA on the 6 February 2017, the subjoined Special Resolution was duly passed, viz:-

RESOLUTION

THAT it has been proved to the satisfaction of this meeting that it is advisable to wind up the company and, accordingly, the company be wound up voluntarily, and that Ian J Gould (IP No 7866) and Edward T Kerr (IP No 9021), Licensed Insolvency Practitioners, of Messrs BDO LLP, Two Snowhill, Birmingham B4 6GA, are hereby appointed Joint Liquidators for the purposes of such winding up, and are to act jointly and severally.

At a subsequent Meeting of Creditors, duly convened pursuant to Section 98 of the Insolvency Act 1986, and held on the same day, the appointment of Ian J Gould and Edward T Kerr was confirmed.
