At a General Meeting of the Members of the above-named Company, duly convened, and held on 25 November 2016 the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution:

"That the Company be wound up voluntarily."

"That Steven George Hodgson of BHP Clough Corporate Solutions LLP, New Chartford House, Centurion Way, Cleckheaton, West Yorkshire BD19 3QB and Gareth David Rusling of Begbies Traynor (SY) LLP, Kendal House, 41 Scotland Street, Sheffield S3 7BS be appointed Joint Liquidators for the purposes of such winding up."

At the subsequent Meeting of Creditors held on 25 November 2016 the appointment of Steven George Hodgson of BHP Clough Corporate Solutions LLP, New Chartford House, Centurion Way, Cleckheaton, West Yorkshire BD19 3QB and Gareth David Rusling of Begbies Traynor (SY) LLP, Kendal House, 41 Scotland Street, Sheffield S3 7BS as Joint Liquidators was confirmed.
