At a General Meeting of the Members of the above named Company, duly convened and held at: Regus Plymouth, 4th Floor, Salt Quay House, Sutton Harbour, Plymouth PL4 0HP, on 13 May 2016, the following Resolutions were duly passed, number 1 as a Special Resolution and number 2 as an Ordinary Resolution:

1. That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind-up the same, and accordingly that the Company be wound up voluntarily, and that:
