Pursuant to chapter 2 of part 13 of the Companies Act 2006, the directors of the Company propose that:

1. resolution 1 is passed as special resolution (Special Resolution); and

2. resolution 2 and 3 are passed as ordinary resolution (Ordinary Resolution).

Special Resolution

1. That it has been proved to the satisfaction of this meeting that the company cannot by reason of its liabilities continue its business and that it is advisable to wind up the same and accordingly that the company be wound up voluntarily.

Ordinary resolution

2. That Alistair McAlinden and Blair Carnegie Nimmo of lnterpath Advisory, 319 St Vincent Street, Glasgow, G2 5AS, be and are hereby appointed as Joint Liquidators of the Company

3. That any power conferred on the Joint Liquidators by the Company, or by law, be exercisable by them jointly or by either of them alone.
