Pursuant to Chapter 2 of Part 13 of the Companies Act 2006, the directors of the Company passed the following written resolutions on 12 April 2018 as a Special Resolution and as an Ordinary Resolution respectively:

“That it has been proved to the satisfaction of this Meeting that the company is insolvent and that it is advisable to wind up the same, and, accordingly, that the company be wound up voluntarily and that Adam Southard and Kenneth Wilson Pattullo, both of Begbies Traynor (Central) LLP, Second Floor, Excel House, 30 Semple Street, Edinburgh, EH3 8BL, (IP Nos. 11930 and 008368) be and are hereby appointed Joint Liquidators of the Company for the purpose of such winding up.”
