SPECIAL RESOLUTIONS

THAT the Company be wound up voluntarily under the provisions of the Insolvency Act 1986, and that Adelle Firestone of Firestones Corporate Recovery & Insolvency, Admirals Offices, Main Gate Road, The Historic Dockyard, Chatham, Kent ME4 4TZ be and is hereby appointed liquidator (the "Liquidator") for the purpose of that winding up."

2. THAT the Liquidator be and is hereby empowered to distribute the assets in specie.
