At a General Meeting of the Company convened and held at 6a Minster Close, Rayleigh, Essex, SS6 8SF on 22 November 2021 at 12.00 PM the following special resolutions numbered a) and d) and the remaining ordinary resolutions were passed:

a) That the Company be wound up voluntarily.

b) That Michael Joseph Fagelman of MFA Insolvency, 3 Holly Gardens, West End, Southampton, Hampshire SO30 3RU, be appointed Liquidator of the Company for the purposes of the voluntary winding-up.

c) That the pre-appointment fee of MFA Insolvency of ÂŁ0 plus VAT and expenses as agreed with the directors, be paid as an expense of the liquidation by the Liquidator if not discharged prior to his appointment.

That the Liquidator’s remuneration shall be on the basis of a fixed fee of £5,000 plus VAT, where applicable, and expenses. These fees are to be paid as and when funds permit.

d) That the Liquidator be authorised to divide among the members of the Company in specie part or the whole of the assets of the Company and may, for that purpose, value any assets and determine how the division between members should be carried out.
