At a General Meeting of the above-named Company, duly convened and held at Charlotte House, Stanier Way, The Wyvern Business Park, Derby DE21 6BF on 17 December 2018, the following resolutions were passed as a Special resolution and Ordinary resolution respectively:-

Resolutions

1. "That the Company be wound up voluntarily" and

2. "That Nicola Joanna Meadows and Martin Frederick Peter Smith of Dains Business Recovery Limited be appointed Joint Liquidators of the Company and that they be authorised to act either jointly or separately" and

3. "That the Joint Liquidators be authorised to distribute any of the company's assets in specie" and

4. "That the Joint Liquidators' fees will be charged as a fixed amount of ÂŁ2,700 including disbursements plus VAT" and

5. "It is understood that the Director has instructed Dains LLP to prepare and submit all necessary returns for the period from 1 November 2018 to the date of liquidation."
