"That the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily and that Peter Nicholas Wastell (IP No. 9119) of Verulam Advisory, First Floor, The Annexe, New Barnes Mill, Cottonmill Lane, St Albans, AL1 2HA be appointed as Liquidator for the purposes of such voluntary winding up."
