At a General Meeting of the above-named Company, duly convened and held at FRP Advisory LLP, Suite 5, 2nd Floor, Bulman House, Regent Centre, Gosforth, Newcastle upon Tyne, NE3 3LS on 12 September 2018 at 3.00 pm, the following resolutions were passed as a Special resolution and as an Ordinary resolution respectively:

"That the Company be wound up voluntarily and that Gordon Smythe Goldie (IP No. 5799) and Andrew David Haslam (IP No. 9551) both of FRP Advisory LLP, Suite 5, 2nd Floor, Bulman House, Regent Centre, Gosforth, Newcastle upon Tyne, NE3 3LS be and are hereby appointed Joint Liquidators for the purposes of such winding up and that anything required or authorised to be done by the Joint Liquidators be done by both or either of them."
