"That it has been proved to the satisfaction of the meeting that the Company cannot by reason of its liabilities continue its business and the Company be wound up voluntarily and that David Simon Matthew Edwards (IP No. 008244) and Janette Louise Chillery-Belcher (IP No. 22172) both of Aaron & Partners LLP, 5-7 Grosvenor Court, Foregate Street, Chester, CH1 1HG be and hereby are appointed Joint Liquidators of the Company."
