At a GENERAL MEETING of the above named Company, duly convened and held at 2pm on 23 August 2022 at Begbies Traynor, 340 Deansgate, Manchester, M3 4LY the following Resolutions were duly passed as a Special Resolution and an Ordinary Resolution respectively:

SPECIAL RESOLUTION

That it has been proved to the satisfaction of this meeting that the company cannot, by reason of its current and/or impending liabilities continue its business, and that it is advisable to wind up the same under an insolvent winding up procedu re.

ORDINARY RESOLUTION

That Jason Dean Greenhalgh & Paul Stanley of Begbies Traynor (Central ) LLP, No. 1 Old Hall Street, Liverpool, L3 9HF, be and are hereby appointed Joint Liquidators of the company for the purposes of the winding up and that the Joint Liquidators act jointly and severally
