At a General Meeting of the members of the above named company, duly convened and held at Suite 2 Albion House, 2 Etruria Office Village, Etruria, Stoke on Trent ST1 5RQ, on 27 July 2018 at 11:30 am, the following special resolutions were duly passed.

"That the Company be wound up voluntarily."

"The Liquidators shall distribute in accordance with the Reconstruction Agreement signed on 27 July 2018."

"That the Liquidators are authorised to act in accordance with S110 of the Insolvency Act 1986 and are authorised to enter into the reconstruction agreement."

The following ordinary resolutions were also passed.

"That Martin FP Smith and Nicola J Meadows, of Dains Business Recovery Limited, be appointed Joint Liquidators of the Company and that they be authorised to act either jointly or separately" and

"That the Joint Liquidators' remuneration be fixed at ÂŁ5,000 plus category two disbursements and VAT."

"That the joint Liquidators' remuneration for acting for the Company, both pre-appointment and also as Liquidators, will be capped at the levels indicated. However, further fees calculated on a time-cost basis based on normal charge out rates, plus disbursements and VAT, may be implemented should there be a need to undertake additional work above and beyond that expected."
