RESOLUTIONS OF THE DESIGNATED MEMBERS OF THE LLP

Passed at a Meeting held on 24 March 2020 at 3 Temple Row West, Birmingham B2 5NY

1. That the holding of the meeting on less than 28 clear days' notice be ratified under paragraph l3.3(d) of the Limited Liability Partnership Agreement dated 1 September 2010 ("the LLP Agreement"); and,

2. That the LLP be placed into Voluntary Liquidation under paragraph 22.1(a) of the LLP Agreement: and,

3. That Andrew Turpin and Matthew Douglas Hardy both of Poppleton & Appleby (Midlands) LLP, 30 St Pauls Square, Birmingham B3 1QZ be appointed joint liquidators of the LLP; and,

4. That the joint liquidators shall have the power to exercise all their functions either jointly or severally.
