The following written resolutions were duly passed as Special and Ordinary Resolutions by the Member of the Company on 12 March 2021:

Special Resolutions

i. "That the Company be wound up voluntarily".

ii "That the Liquidator be and is hereby authorised to divide amongst the Members in specie all or any part of the assets of the Company and may (or such purpose set such value as they deem fair upon any property to be divided as aforesaid and may determine how such division shall be carried out as between the Members".

iii. "That the Liquidator be and is hereby authorised to pay or make an advance distribution to the Member(s), if they consider it appropriate and prudent to do so, in an amount that they shall determine at their sole discretion, or, if in specie or in kind, of such of the assets as they shall determine in their sole discretion, in such proportions as they shall determine".

iv. "That the Liquidator be authorised under the provisions of Section ·165 2(a) of the Insolvency Act 1986 ("the Act") to exercise the powers specified in Part 1 of Schedule 4 of the Act".

Ordinary Resolutions

1. "That Engin Faik of Cornerstone Business Turnaround and Recovery Limited, 136 Hertford Road, Enfield, Middlesex EN3 5AX, be and is hereby appointed Liquidator of the Company".
