Pursuant to Chapter 2 of Part 13 of the Companies Act 2006, the directors of the Company passed the following written resolutions of the members on 1 July 2019, as Special Resolutions:

“That the Company be wound up voluntarily and that Graham Stuart Wolloff (IP No. 8879) and Mark Grahame Tailby (IP No. 9115) both of Elwell Watchorn & Saxton LLP, 109 Swan Street, Sileby, Leicestershire, LE12 7NN be appointed as Joint Liquidators for the purposes of such voluntary winding up."
