Special Resolution

"That it has been proved to the satisfaction of this meeting that the company cannot by reason of its liabilities continue its business and that it is advisable to wind up the same and accordingly that the company be wound up voluntarily."

Ordinary Resolution

"That Clive Everitt (Office Holder No 007828) and Hayley Simmons (Office Holder No 009022) of Shaw Gibbs ICR LLP, 264 Banbury Road, Oxford OX2 7DY be and are hereby appointed Joint Liquidators for the purpose of such winding up."
