At a GENERAL MEETING of the above-named Company, duly convened and held on 15 January 2021 at 11.00 am the following Resolutions were duly passed as a Special Resolution and an Ordinary Resolution respectively:

SPECIAL RESOLUTION

That it has been proved to the satisfaction of this meeting that the company cannot, by reason of its current and/or impending liabilities continue its business, and that it is advisable to wind up the same under an insolvent winding up procedure.

ORDINARY RESOLUTION

That Steve Kenny and John Radford of KBL Advisory Limited, Stamford House, Northenden Road, Sale, Cheshire, M33 2DH be appointed Joint Liquidators for the purposes of the voluntary winding up of the company and that the Joint Liquidators are to act jointly and severally.
