RESOLUTIONS

Pursuant to Chapter 2 of Part 13 of the Companies Act 2006 the following resolutions were passed on 19 November 2021. No. 1 and No.2 as Special Resolutions and No.3 as an Ordinary Resolution.

1. THAT the Company be wound up voluntarily under Section 84(1)(b) of the Insolvency Act 1986.

2. THAT, subject to the passing of Special Resolution 1, in accordance with the provisions of the Company's Articles of Association, the Liquidator be and is hereby authorised to distribute to the Member in specie all or any part of the Company's assets.

3. THAT, subject to the passing of Special Resolution 1, Megan Wallis of Bates Weston LLP, The Mills, Canal Street, Derby DE1 2RJ be and is hereby appointed Liquidator for the purpose of such winding up.
