Special resolution

1. That the Company be wound up voluntarily.

Ordinary resolution

2. That Christine Francis and William Matthew Tait of BDO LLP, 55 Baker Street, London, W1U 7EU be appointed Joint Liquidators for the purpose of the voluntary winding-up of the Company. The Joint Liquidators are to act jointly and severally.
