At a GENERAL MEETING of the above-named Company, duly convened and held on 18 January 2021 at 11:00 am the following Resolutions were duly passed as a Special Resolution and an Ordinary Resolution respectively:

SPECIAL RESOLUTION

That it has been proved to the satisfaction of this meeting that the company cannot, by reason of its current and/or impending liabilities continue its business, and that it is advisable to wind up the same under an insolvent winding up procedure.

ORDINARY RESOLUTION

That John Radford and Steve Kenny of KBL Advisory Limited, Stamford House, Northenden Road, Sale, Cheshire be appointed Joint Liquidators for the purposes of the voluntary winding up of the Company and that the joint liquidators are to act jointly and severally.
