Pursuant to Chapter 2 of Part 13 of the Companies Act 2006, the directors of the Company proposed that the following written resolutions be passed on 1 June 2018, as Special Resolutions and Ordinary Resolutions:

“That the Company be wound up voluntarily and that Liam Alexander Short (IP No. 14570) and Graham Stuart Wolloff (IP No. 8879) both of Elwell Watchorn & Saxton LLP, 3 Waterhouse Square, 138 Holborn, London, EC1N 2SW be and are hereby appointed Joint Liquidators for the purposes of such winding up."
