At a General Meeting of the above-named Company, duly convened, and held at the offices of BDO LLP, 3 Hardman Street, Spinningfields, M3 3AT on the 22 February 2016 at 10:00am, the subjoined Special Resolution was duly passed, viz:-

RESOLUTION

THAT it has been proved to the satisfaction of this meeting that it is advisable to wind up the company and, accordingly, the company be wound up voluntarily, and that Kerry Franchina Bailey (8780) of BDO LLP, 3 Hardman Street, Manchester, M3 3AT and Francis Graham Newton (9310) of BDO LLP, 1 Bridgewater Place, Water Lane, Leeds, LS11 5RU, Licensed Insolvency Practitioners, are hereby appointed Joint Liquidators for the purposes of such winding up, and are to act jointly and severally.

At a subsequent Meeting of Creditors, duly convened pursuant to Section 98 of the Insolvency Act 1986, and held on the same day, the appointment of Kerry Franchina Bailey and Francis Graham Newton was confirmed.
