By a Written Resolution of the member of the above named companies the subjoined resolutions were passed on 28 November 2018 for each of the above companies, viz:-

SPECIAL RESOLUTION

1. THAT, the Company be wound up voluntarily under section 84(1 )(b) of the Insolvency Act 1986.

2. THAT, subject to the passing of Resolution 1 and 3 the Joint Liquidators are hereby authorised to distribute, amongst the shareholders, in specie all or any part of the assets of the company.

ORDINARY RESOLUTION

3. THAT, subject to the passing of Resolution 1, Edward Kerr of BDO LLP, Two Snowhill, Snow Hill Queensway, Birmingham B4 6GA, and Malcolm Cohen of BDO LLP, 55 Baker Street, London W1U 7EU (the "Joint Liquidators") be appointed as joint liquidators of the Company, for the purpose of winding up the Company's affairs and distributing its assets.
