At a General Meeting of the Members of the above-named Company, duly convened, and held on 20 July 2017 the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution:

It has been proved to the satisfaction of this meeting that the company cannot, by reason of its current and/ or impending liabilities continue its business, and that it is advisable to wind up the same under an insolvent winding up procedure.

That Gareth Bishop and Helen Whitehouse of McAlister & Co, 10 St Helens Road, Swansea, SA1 4AW be appointed Joint Liquidators for the purposes of the voluntary winding up of the company and that they may act jointly or severally in this regard.
