Pursuant to Section 288 of the Companies Act 2006 I, being a member of the Companies who would, on 13 May 2019, have been entitled to vote upon them as if they had been proposed at a general meeting at which I was present, pass the following written resolutions as a special and ordinary resolution respectively:

"That the Companies be wound up voluntarily and that Richard Barker (IP No. 17150) and Samantha Jane Keen (IP No. 9250) both of Ernst & Young LLP, 1 More London Place, London, SE1 2AF be and they are hereby appointed Joint Liquidators for the purposes of the windings up."
