I, the undersigned, being a member of the Company entitled to receive notice of and to attend and vote at members' meetings pursuant to Chapter 2 of Part 13 of the Companies Act 2006, hereby pass the following written resolutions on 5 June 2017, which for all purposes shall be as valid and effective as if the same had been passed at a members' meeting of the Company duly convened and held:

"That the Company be wound up voluntarily and that C M Williamson (IP No. 15570) and A C O'Keefe (IP No. 008375) both of AlixPartners, The Zenith Building, 26 Spring Gardens, Manchester, M2 1AB and P M Saville , (IP No. 009029) of AlixPartners, 6 New Street Square, London EC4A 3BF be appointed Liquidators of the Company for the purposes of the voluntary winding up."
