Pursuant to Chapter 2 of Part 13 of the Companies Act 2006 and Section 84 (1)(b) of the Insolvency Act 1986 as amended, the directors of the Company proposed that on 21 December 2017 the following resolutions be passed as Special and Ordinary Resolutions respectively:

"That the Company be wound up voluntarily and that Andrew Mackenzie (IP No. 009581) and Julian Pitts (IP No. 007851) both of Begbies Traynor (Central) LLP, Unit 8B, Marina Court, Castle Street, Hull, HU1 1TJ be and are hereby appointed Joint Liquidators for the purposes of such voluntary winding up."
