Pursuant to chapter 2 of part 13 of the Companies Act 2006, the directors of the Company propose that:

Special Resolution

1 That it has been proved to the satisfaction of this meeting that the company cannot by reason of its liabilities continue its business and that it is advisable to wind up the same and accordingly that the company be wound up voluntarily.

Ordinary Resolutions

2 That Michael Robert Pink and James Robert Tucker of KPMG LLP, 15 Canada Square, Canary Wharf, London E14 5GL be and are hereby appointed as Joint Liquidators of the Company for the purpose of such winding up and that any act required or authorised under any enactment to be done by the Liquidator is to be done by them jointly or by any one of them.
