At a General Meeting of the above-named company, duly convened, and held at 26 The Strand, Derby, DE1 1BE on 23 April 2018, the following resolutions were duly passed as a Special Resolution and an Ordinary Resolution respectively:

“That it has been proved to the satisfaction of this meeting that the company cannot by reason of its liabilities continue its business, and that it is advisable to wind up the same, and accordingly that the company be wound up voluntarily, and that Graham Stuart Wolloff (IP No. 8879) of Elwell Watchorn & Saxton LLP, 2 Axon, Commerce Road, Lynchwood, Peterborough PE2 6LR and Mark Grahame Tailby (IP No. 9115) of MT Insolvency Limited, 21 High View Close, Hamilton Office Park, Hamilton, Leicester, LE4 9LJ be and are hereby appointed Joint Liquidators for the purposes of such winding-up. Any act required or authorised under any enactment to be done by a liquidator, may be done by one of them."
