That it has been proven to the satisfaction of the Members that the Company cannot, by reason of its current and/or impending liabilities, continue its business, and that it is advisable to wind up the same and hereby is now wound up under an insolvency winding up procedure.

That Virgil Harsham Levy of LA Business Recovery Limited, 1 Beasley’s Yard, 126 High Street, Uxbridge, Middlsex, UB8 1JT be and is appointed as Liquidator for the purposes of the voluntary winding up of the Company.
