Following a delivery of a notice of deemed consent to agree the confirmation of the Joint Liquidators nominated by the shareholders, the appropriate number of creditors objected to the proposed decision. As a result, the directors of the Company are now required by the Insolvency Rules to seek a decision from the creditors on the nomination of a Liquidator by holding a physical meeting.

To confirm the appointment of Miles needham and Sarah Cook of FRP Advisory Trading Limited, 4 Beaconsfield Road, St Albans, Hertfordshire, AL1 3RD as Joint Liquidators of the Company, or to appoint an alternative Liquidator; To receive nominations for a Committee.

A physical meeting of creditors is being held on 1 October 2021 at 2.30 pm at FRP Advisory Trading Limited, 4 Beaconsfield Road, St Albans, Hertfordshire, AL1 3RD.

In order for a creditor's vote to be counted a proof of their claim must be submitted to the convener by 4 pm on the business day before the decision date detailed below.

A creditor whose debt is treated at a small debt in accordance with the Insolvency Rules must still deliver a proof if they wish to vote. Any creditor who has opted out from receiving notices may nevertheless vote if the creditor provides a proof by the decision date.

The meeting may be suspended or adjourned by the chair of the meeting (and must be adjourned if it so resolved at the meeting). Remote attendance at this meeting will be at the discretion of the convener.

Decision date: 1 October 2021.

Should any creditor wish to nominate a proxy to act on their behalf at the meeting of creditors, the proxy form must be delivered to the convener in advance of the meeting.

A person who claims to be an excluded person or, who attends the meeting and claims to have been adversely affected by the claimed exclusion of another person may make a complaint to the appropriate person in accordance with Rule 15.38, such complaint must be made no later than 4pm on the business day following the meeting.

A creditor may appeal a decision of the convener or chair by application to Court within 21 days after the decision date.
