At a General Meeting of the above-named Company, duly convened and held at Stairbox House, Gordon Banks Drive, Trentham Lakes North, Stoke on Trent, ST4 4TW, the following resolutions were passed: 1, 3 and 5 as Special resolutions and 2 and 4 as Ordinary resolutions:-

1. That the Company be wound up voluntarily" and

2. "That Nicola Joanne Meadows and Martin Frederick Peter Smith of be appointed Joint Liquidators of the Company and that they be authorised to act either jointly or separately" and

3. "That the Joint Liquidators shall distribute In accordance with the Reconstruction Agreement dated 11 April 2019" and

4. "That the Joint Liquidators' fees will be charged as a fixed amount of ÂŁ5,000 plus VAT and disbursements" and

5. "That the Joint Liquidators are authorised to act in accordance with s110 of the Insolvency Act 1986 and are authorised to enter into the Reconstruction Agreement."
