At a general meeting of the Company, duly convened and held at Richard J Smith & Co, 24 Southernhay East, Exeter, EX1 1QL on 28 January 2021, the following Resolutions were passed as a Special Resolution and an Ordinary Resolution respectively:

"That the Company be wound up voluntarily and that Hamish Adam and Jonathan Trembath of Richard J Smith & Co, 53 Fore Street, Ivybridge, Devon, PL21 9AE, be and are hereby appointed Joint Liquidators of the Company for the purposes of such winding up." It was further resolved that any act required or authorized under any enactment to be done by the Liquidator may be done by all or any one or more of the persons for the time being holding such office.
