Pursuant to Chapter 2 of Part 13 of the Companies Act 2006, the directors of the Company proposed that the following written resolutions, which were passed on 29 August 2018 were passed as a Special Resolution and as an Ordinary Resolution:

“That it has been proved to the satisfaction of this Meeting that the company is insolvent and that it is advisable to wind up the same, and accordingly, that the company be wound up voluntarily and that Kenneth Wilson Pattullo and Kenneth Robert Craig, both of Begbies Traynor (Central) LLP, 7 Queen’s Gardens, Aberdeen, AB15 4YD, (IP Nos. 008368 and 008584) be and are hereby appointed Joint Liquidators of the Company for the purpose of such winding up.”
