"That the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily and that David Frederick Wilson (IP No. 006074) of DFW Associates, 29 Park Square West, Leeds, LS1 2PQ be and is hereby appointed Liquidator of the company for the purposes of such voluntary winding up."
