At a General Meeting of the above named Company, duly convened, and held at 3.00pm on 10 November 2020 at 14 Brixfield Way, Dickens Heath, Solihull, B90 1RQ, the following resolutions were duly passed, viz:-

SPECIAL RESOLUTION

1. 'That the Company be wound up voluntarily.'

ORDINARY RESOLUTION

2. 'That Andrew Turpin, Licensed Insolvency Practitioner, of Poppleton & Appleby, 30 St. Paul's Square, Birmingham B3 1QZ, be and is hereby appointed Liquidator of the Company for the purpose of such winding-up.'

SPECIAL RESOLUTIONS

3. 'That the Liquidator be and is hereby authorised to:-

(a) value any assets and determine how the division shall be carried out as between the Members or different classes of Members and;

Divide among the Members of the Company in specie the whole or any part of the assets of the Company'
