In accordance with the written resolution procedure in chapter 2 of part 13 of the Companies Act 2006, the following resolutions were duly passed on 23 October 2019 as special resolutions:

1. That the Company be wound up voluntarily under section 84(1)(b) of the Insolvency Act 1986.

2. That Simon Kirkhope and Andrew Johnson of FTI Consulting LLP whose offices are at 200 Aldersgate Street, London EC1A 4HD be appointed as joint liquidators of the Company for the purposes of the resolution detailed at resolution 1.
