At a General Meeting of the above-named company, duly convened, and held at 2.00 pm on 16 April 2019, the subjoined Special Resolution and Ordinary Resolution were duly passed:

“That it has been proved to the satisfaction of this meeting that the company cannot by reason of its liabilities continue its business, and that it is advisable to wind up the same, and accordingly that the company be wound up voluntarily, and that Graham Stuart Wolloff (IP No. 8879) and Mark Grahame Tailby (IP No. 9115) both of Elwell Watchorn & Saxton LLP, 2 Axon, Commerce Road, Peterborough PE2 6LR be and are hereby appointed Joint Liquidators for the purposes of such winding-up. Any act required or authorised under any enactment to be done by a liquidator, may be done by one of them."
