At a general meeting of the Company, duly convened and held at 24 Southernhay East, Exeter, Devon, EX1 1QL on 24 April 2019, the following Resolutions were passed as a Special Resolution and Ordinary Resolutions respectively:

"That the Company be wound up voluntarily and that Samuel Adam Bailey and Hamish Millen Adam of Richard J Smith & Co, 53 Fore Street, Ivybridge, Devon, PL21 9AE, be and are hereby appointed Joint Liquidators of the Company for the purposes of such winding up."

It was further resolved that any act required or authorised under any enactment to be done by the Liquidator may be done by all or any one or more of the persons for the time being holding such office.
