At General Meetings of the above-named Companies, duly convened, and held at 2 Queen Anne's Gate, Dartmouth Street, London SW1H 9BP on the 26 September 2019, the subjoined Special, Extraordinary & Ordinary Resolutions were passed, viz: -

SPECIAL RESOLUTION

1 That the Company be wound-up voluntarily (and placed into a members' voluntary liquidation).

ORDINARY RESOLUTIONS

1 That Malcolm Cohen (officeholder number: 6825) of BDO LLP, 55 Baker Street, London W1U 7EU and Edward Terence Kerr (officeholder number: 9021) of BDO LLP, Regent House, Clinton Avenue, Nottingham NG5 1AZ be appointed Joint Liquidators of the Company for the purposes of the winding-up of the Company.

2 That the Joint Liquidators' fees be paid on a time costs basis, subject to the terms of an engagement letter dated 10 May 2019 from BDO LLP to ATCO Power Generation Ltd.

3 That any act, function, or power required or authorised (whether under any enactment or otherwise) to be done or exercised by the liquidators of the Company may be done or exercised by any one or more of the persons holding the office of liquidator of the Company from time to time, acting alone or jointly.

EXTRAORDINARY RESOLUTION

1 That the liquidators of the Company be and are hereby authorised to distribute all or part of the assets of the Company in specie to the member(s) of the Company in such proportion as they mutually agree and may, for that purpose, value any assets and determine how the division between members, if applicable, should be carried out.
